The services that Prim Nest, LLC., provides to both the members and the customers are subject to the following Terms of Use (TOU). Prim Nest, LLC., reserves the right to update the TOU at any time without notice. Prim Nest is a division of Pattern Mart, LLC. 

DESCRIPTION OF SERVICES. 

Through this Web site, Prim Nest, LLC., provides you with access to valuable resources and services (collectively services). These services, including any updates, enhancements, new features, and/or the addition of any new Web site properties, are subject to the TOU. 

PERSONAL USE LIMITATION. 

Unless otherwise specified, these Services are for your personal use. You may not modify, copy distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information obtained from these Services. No member sharing of services is allowed.

Prim Nest, LLC., HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH REGARD TO THE SERVICES INCLUDING ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, WHETHER EXPRESS, IMPLIED OR STATUTORY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. 

Prim Nest, LLC.,  DOES NOT MAKE ANY ASSURANCES WITH REGARD TO THE ACCURACY OR RELIABILITY OF INFORMATION CONTAINED IN OR EXTRACTED FROM THE SERVICES.

IN NO EVENT SHALL Prim Nest, LLC.,  AND/OR ITS RESPECTIVE MEMBERS BE LIABLE FOR ANY SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER RESULTING FROM THE USE OR LOSS OF USE, DATA OR PROFITS, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCES OR OTHER TORTIOUS ACTION, ARISING OUT OF OR IN CONNECTION WITH THE USE, PERFORMANCE OR FAILURE TO PROVIDE SERVICES FROM THIS WEB SITE.

All parties that join as members of Prim Nest, LLC., agree to an implied non-compete clause. By access of our services, in no way may any member duplicate, implement any likeness of services as provided herein at anytime during or after their membership is terminated. This includes any and all concepts of our website, functionality and implementation.

FOR CUSTOMERS. Prim Nest cannot be held liable for any errors in item listings or transactions that take place through Prim Nest.com. We are a hosting and service entity only and therefore cannot be held liable for any purchase transactions between customers and Artist's sellers.

MEMBER ACCOUNT, PASSWORD, AND SECURITY. 

In order to access and use the services, you must create a account by completing the registration process of providing us with current, complete and accurate information as prompted by the applicable registration form. You also will choose a password and a user name. You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under that account. You agree to notify Prim Nest, LLC.,  immediately of any unauthorized use of your account or any other breach of security. Prim Nest, LLC.,  will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. you could, however, be held liable for losses incurred by Prim Nest ,LLC.,  or any other party due to someone else using your account or password. You may not use anyone else's account at any time. Accounts are limited to one designer. No account sharing is allowed through Prim Nest,LLC. 

MEMBERSHIP FEES. 

FOR SELLERS ONLY. Members agree once they sign up to provide Prim Nest, LLC.,  with the either a monthly or yearly fee listed,  at no time are any or part of these fees refundable or pro-rated. All membership payments are due at the time of registration. If members wish to cancel their memberships they must cancel their subscription through Paypal. The date of canceling a subscription through Paypal is the date which the members membership will cease. We cannot prorate any memberships once a cancelation of subscription has been made. All memberships are paid via Paypal subscription. Once you sign up for the Paypal subscription you are authorizing Prim Nest, LLC., to receive subsequent monthly or yearly subscription fees. You are solely responsible for cancelling your subscription in Paypal if you no longer wish to be a member of Prim Nest, LLC., 

NO UNLAWFUL OR PROHIBITED USE. 

As a condition of your use of the Services, you will not use the Services for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Services in any manner that could damage, disable, overburden, or impair any Prim Nest, LLC.,  server, or the network(s) connected to any Pattern Mart™, LLC.,  server, or interfere with any other party's use and enjoyment of Services. You may not attempt to gain unauthorized access to Services, other accounts, computer systems or networks connected to any Prim Nest, LLC.,  server or to the Services, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made through the Services.

COPYRIGHT INFRINGEMENT.

Members upon signing up for membership to PrimNest.com agree to hold Prim Nest, LLC., harmless and relieve them of all liability for any listings of products, including but not limited to, any intellectual property infringements of any kind. Prim Nest, LLC., will remove any listings of items as ordered by final judgement from a court of law in the United States. If it is brought to our attention that a item is in possible violation of another's copyright we reserve the right to do one or more of the following; Hide the listing until a resolution is met, remove the listing from our website or remove the offending member from selling on Prim Nest, LLC. 

RIGHT OF TERMINATION. 

Prim Nest, LLC., reserves the right to terminate your access to any portion or all of the Web site and/or Services at any time, without notice, for any reason whatsoever. Prim Nest, LLC., reserves the right at all times to disclose any information as Prim Nest, LLC., deems necessary to satisfy any applicable law, regulations, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or part, in Prim Nest, LLC., 's sole discretion. At the sole discretion of Prim Nest, LLC., fees for membership may in part or whole be returned to the member if termination occurs.
